1. Acceptance of Terms
By accessing or using the Corner-Cart platform ("Service"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service. These terms apply to all users, including sellers, administrators, and visitors.
2. Seller Eligibility & Application
To become a seller, you must: be at least 18 years old; provide truthful and accurate information on your application; pass our review process (typically within 48 hours); pay a refundable security deposit of $1,200; complete Stripe payment onboarding; maintain all required local permits and licenses for street vending.
3. Security Deposit
A refundable security deposit is required upon approval. The deposit covers potential inventory loss, equipment damage, or outstanding financial obligations. Upon termination in good standing, deposits are refunded within 30 business days minus any deductions for damages or unpaid balances.
4. Seller Responsibilities
As a seller, you agree to: start a shift before processing any sales; accurately process all transactions through the Corner-Cart POS; maintain assigned equipment (fridges, supplies) in good condition; comply with all local health, safety, and vending regulations; not tamper with inventory counts or pricing; report damaged or spoiled inventory promptly; meet minimum monthly sales thresholds as communicated.
5. Commission & Payments
Corner-Cart operates on a commission-based model. Your commission rate is set upon approval (default 50%) and may be adjusted with notice. Sales taxes are calculated and collected automatically. Payouts are processed on your chosen schedule (weekly, biweekly, or monthly) via Stripe. Corner-Cart retains the admin share (revenue minus seller commission) to cover cost of goods, platform fees, and operations.
6. Monthly Sales Thresholds
Sellers are expected to meet a minimum monthly sales threshold (default $500). Failure to meet the threshold may result in a charge unless waived by administration. Repeated failure to meet thresholds may result in suspension or termination.
7. Inventory & Equipment
Inventory allocated to you remains the property of Corner-Cart until sold. You are responsible for safeguarding allocated inventory and assigned equipment. Damaged or missing inventory will be deducted from your earnings or deposit. Fridges and equipment must be returned in acceptable condition upon termination.
8. Shift Requirements
You must start a shift in the app before processing sales. GPS location is captured at shift start and end for operational purposes. Shifts that remain open for more than 12 hours may be automatically closed.
9. Refunds & Returns
Refund policies are detailed in our separate Refund Policy page. Sellers may not issue refunds independently — all refunds must be processed through the platform by an administrator.
10. Suspension & Termination
Corner-Cart may suspend or terminate your seller account for: violation of these terms; fraudulent activity; failure to meet sales thresholds; damage to equipment or inventory; customer complaints; inactivity exceeding 60 days. You may voluntarily terminate by providing 14 days written notice.
11. Intellectual Property
The Corner-Cart name, logo, software, and all associated materials are the property of Corner-Cart. You may not reproduce, distribute, or create derivative works without written permission.
12. Limitation of Liability
Corner-Cart is provided "as is." We are not liable for: lost sales due to technical issues; weather or external events affecting sales; third-party payment processing delays; any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount of commissions paid to you in the preceding 3 months.
13. Dispute Resolution
Any disputes shall be resolved through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.
14. Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect.
15. Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of law principles.
